EXECUTE BUSINESS LICENSE IN SPAIN

Business License in SpainTo execute the business license in Spain you have to submit to the public notary the Negative Name Certificate, a certificate of deposit of the amount equivalent to the paid-in capital, a copy of the declaration of foreign investment duty and all the documents concerning the identity of the founding member(s) and proof of sufficient powers of attorney for those who are to sign by proxy. As a foreign investor you have also to present a proof of non-residence in Spain.

Within 30 business days after the execution of the Public Deed you have to pay the stamp duty at the tax office, where you have to present a copy of the deed of incorporation. The applicable rate is 1% of the current value of the capital contributions made. Within this time your new company must also be registered with the Companies' Registry. Therefore you need an authorized copy of the Deed of Incorporation, the Negative Name Certificate and evidence of having paid the Stamp Duty. The registration fees depend on the capital that means the larger the capital is the lower is the rate to pay.

Once passed all these steps you have to obtain a permanent tax identity number at the tax office presenting them the certificate of the temporary tax ID number, an authorized copy of the Deed of Incorporation and a copy of the registration entry in the Companies' Register.

In Spain all businesses are registered with the Social Security Office. So you will have to pay social security payments for you and your employees to benefit from the Spanish health system. No matter if you want to start a new business in Spain, buy a Spanish business or if you are an employee of a Spanish company or even unemployed or retired, you should apply for a Social Security Number. To get such a number is quite easy. The only thing to do is to go to any social security office and to bring your passport as well as a copy of the passport with you. Then you have to fill in a Spanish form and you will get your Social Security number immediately and a temporary card. The permanent card will be sent within few weeks.
